These Terms of Service ("Terms") govern your use of the services provided by Zash Tech Solution ("we," "our," or "us"). By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Services

Zash Tech Solution provides software development services including but not limited to web development, SaaS product development, AI agent development, chatbot systems, mobile applications (iOS and Android), UI/UX design, graphic design, video editing, SEO and digital marketing, automation solutions, and related consulting. All services are delivered on a project-by-project basis as agreed in a separate Statement of Work (SOW) or service agreement.

Intellectual Property

Client Deliverables

Upon full payment, all intellectual property rights to the custom code, designs, and deliverables created specifically for your project are transferred to you. We retain the right to display completed work in our portfolio unless otherwise agreed.

Pre-Existing Materials

Any pre-existing code, libraries, frameworks, tools, or methodologies we use remain our intellectual property. We grant you a perpetual, royalty-free license to use any pre-existing materials incorporated into your project deliverables.

Third-Party Assets

Certain components (open-source libraries, stock assets, third-party APIs) remain subject to their original licenses. We ensure all third-party assets used are properly licensed for commercial use.

Payment Terms

  • Payment schedules are defined in the project SOW or service agreement
  • Typical payment structure: 40-50% deposit to begin, remaining balance due upon completion or per milestone
  • Invoices are due within 15 days of receipt unless otherwise specified
  • Late payments may result in project suspension after a 7-day written notice
  • All fees are quoted in USD unless otherwise agreed
  • Client is responsible for any applicable taxes, VAT, or duties

Project Timelines

Timelines provided in proposals and SOWs are estimates based on the scope defined at the time of agreement. We make every effort to meet deadlines, but the following may affect timelines:

  • Client-side delays in providing feedback, assets, or approvals
  • Changes in project scope after work has begun
  • Unforeseen technical challenges or third-party dependencies
  • Force majeure events outside our reasonable control

Client Responsibilities

To ensure successful project delivery, the client agrees to:

  • Provide timely feedback, approvals, and required materials
  • Appoint a single point of contact for decision-making
  • Grant necessary access to systems, APIs, and third-party accounts
  • Review and test deliverables within agreed review periods
  • Communicate scope changes promptly in writing

Limitation of Liability

To the maximum extent permitted under applicable law, Zash Tech Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption. Our total liability for any claim shall not exceed the total amount paid by you for the specific project giving rise to the claim.

Warranties & Disclaimer

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. We make no warranty that our services will be error-free or uninterrupted. All services are provided "as is" except as expressly stated in your service agreement.

Confidentiality

Both parties agree to keep confidential all non-public information shared during the course of the project, including business strategies, technical specifications, source code, and financial data. This obligation survives the termination of our agreement for a period of two years.

Termination

  • Either party may terminate the agreement with 30 days written notice
  • We may terminate immediately if payment is not received within the agreed terms
  • Client may terminate for convenience, with payment due for all work completed up to the termination date
  • Upon termination, we will deliver all work product completed to date
  • Sections on IP, confidentiality, and limitation of liability survive termination

Governing Law

These terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically those of the Dubai International Financial Centre (DIFC) courts. Any disputes arising from these terms shall be resolved through amicable negotiation first, and if unresolved, through the DIFC courts.

Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after changes constitutes acceptance of the updated terms.
